These Terms and Conditions govern access to and use of the Hostixie website, as well as requests for and provision of services by Hostixa SRL, operating under the Hostixie brand.
Hostixa SRL is registered under registration number J2026017647009, with its registered address at Bucharest District 3, Str. Mihai Bravu Nr. 255, Basement, Module S 029, București, Romania.
Hostixie provides services primarily to businesses, organizations, professionals, entrepreneurs, and other commercial clients.
Our services may include advertising, marketing, and business consulting; media planning and placement; market research; public opinion research; PR and communications; brand communication; graphic design; visual communications; campaign management; and other related professional services.
By accessing our website, submitting a service request, accepting a proposal, placing an order, or otherwise engaging Hostixie to provide services, you acknowledge that you have read and accepted these Terms.
If both parties have accepted a separate proposal, quotation, statement of work, service agreement, insertion order, media plan, or other written agreement, that document forms part of the contractual relationship. If there is a conflict between these Terms and a separately signed agreement, the separately signed agreement will prevail to the extent of that conflict.
Business-to-Business Services
Hostixie services are primarily intended for business and professional use.
If you contact or engage Hostixie on behalf of a company, partnership, organization, or other legal entity, you confirm that:
References to “Client,” “you,” or “your” in these Terms include the business or organization receiving the services and, where applicable, its authorized representatives.
- You are authorized to act on behalf of that entity;
- You have authority to submit requests, approve proposals, and enter into agreements relating to our services;
- The information you provide is accurate and complete;
- Your organization accepts these Terms when engaging our services.
Key Definitions
For clarity, the following terms are used throughout these Terms:
- “Company,” “Hostixie,” “we,” “our,” or “us” means Hostixa SRL.
- “Client,” “you,” or “your” means the business, organization, professional, or authorized representative that requests or purchases our services.
- “Website” means the Hostixie website accessible through hostixie.com.
- “Services” means professional services provided by Hostixie, including advertising, media planning and placement, marketing consulting, market research, public opinion research, PR and communications, brand communication, graphic design, visual communication, campaign management, and related services.
- “Project” means an individual engagement, campaign, research assignment, consultation, creative assignment, or other agreed scope of work.
- “Proposal” means a quotation, offer, statement of work, service description, package selection, media plan, or other document outlining the scope, deliverables, fees, and terms of a Project.
- “Deliverables” means materials created specifically for the Client under an agreed Project, such as strategies, research reports, campaign concepts, advertising materials, copy, presentations, designs, communication frameworks, or reports.
- “Client Materials” means information, data, logos, trademarks, copy, images, documents, product information, claims, customer information, or other materials supplied by the Client.
- “Media Spend” means amounts paid or payable to advertising platforms, publishers, broadcasters, media owners, social platforms, search platforms, outdoor advertising operators, or other media providers for advertising placement.
- “Third-Party Costs” means external expenses incurred in connection with a Project, such as media spend, research panels, survey respondents, stock assets, printing, photography, video production, translation, distribution, databases, software, publishers, influencers, or specialist suppliers.
- “Third-Party Services” means platforms, media channels, software, research providers, suppliers, publishers, advertising networks, payment providers, or other external services used in connection with our work.
Scope of Services
The relevant Proposal, quotation, service package, statement of work, or other written agreement will describe the exact Services provided for each Project.
Services may include, but are not limited to:
Unless expressly included in the agreed scope, additional work is not included automatically.

- Creative advertising;
- Digital advertising;
- Media planning and placement;
- Campaign management;
- Marketing and business consulting;
- Market and competitor research;
- Audience research;

- Brand positioning and messaging;
- PR and corporate communications;
- Communication strategy;
- Graphic design;
- Visual communications;
- Corporate presentations and marketing collateral;
- Campaign performance analysis;
- Strategic reporting and recommendations.
Proposals, Quotations and Service Requests
Submitting a request through the Website does not automatically obligate Hostixie to provide Services.
After reviewing the Client’s requirements, we may provide a Proposal, quotation, package recommendation, or request for additional information.
A Project will generally begin after the Client has:
We reserve the right to decline a Project where we reasonably believe that the requested work is outside our capabilities, conflicts with applicable law or professional standards, creates an unacceptable risk, or cannot reasonably be completed within the requested scope or timeline.
- Accepted the applicable Proposal or quotation;
- Provided the required business information and Project brief;
- Supplied required Client Materials;
- Paid any deposit or advance payment specified in the Proposal or invoice; and
- Completed any other agreed onboarding requirements.
Client Brief and Information
The Client is responsible for providing accurate, complete, and timely information required to perform the Services.
This may include:
Hostixie may rely on information supplied by the Client when preparing strategies, campaigns, research, communication materials, or other Deliverables.
We are not responsible for errors or delays resulting from incomplete, inaccurate, outdated, or misleading information supplied by the Client.
- Business objectives;
- Product or service details;
- Target markets;
- Audience information;
- Brand guidelines;
- Existing research;
- Marketing materials;
- Pricing and commercial information;
- Regulatory requirements relevant to the Client’s industry;
- Advertising claims;
- Required approvals;
- Access to relevant systems or accounts.
Client Responsibilities
The Client agrees to:
Delays in receiving information, materials, feedback, access, or approvals from the Client may affect Project schedules.
Where significant delays occur, Hostixie may revise delivery dates, reschedule resources, or propose an updated Project scope or fee.
- Provide the information and materials reasonably required to perform the Services;
- Respond to requests for feedback and approval within reasonable timeframes;
- Ensure that Client Materials may lawfully be provided to and used by Hostixie;
- Review Deliverables carefully before approval or publication;
- Verify factual, technical, commercial, pricing, regulatory, and product-specific claims relating to its own business;
- Obtain any internal, legal, regulatory, or industry-specific approvals required for publication;
- Pay invoices and approved Third-Party Costs when due;
- Cooperate reasonably with Hostixie throughout the Project.
Advertising Claims and Regulatory Responsibility
The Client is responsible for ensuring that information and claims relating to its business, products, services, prices, qualifications, performance, certifications, warranties, or other factual matters are accurate and appropriately substantiated.
Hostixie may assist with advertising and communication materials but does not independently certify the Client’s products, services, legal claims, regulatory status, or commercial representations unless this has specifically been agreed as part of the Project.
The Client must notify Hostixie of any industry-specific advertising, disclosure, licensing, or regulatory requirements applicable to its business.
Hostixie reserves the right to refuse, suspend, or request amendments to content that we reasonably believe may be:
- False or materially misleading;
- Unlawful;
- Defamatory;
- Discriminatory;
- Infringing of intellectual property rights;
- Contrary to applicable advertising platform rules;
- Contrary to media-owner requirements;
- Otherwise inappropriate for publication.
Approvals
Where a Project involves advertising, PR materials, designs, research reports, media plans, messaging, or other Deliverables requiring Client approval, Hostixie will submit relevant materials for review.
Approval may be provided in writing, including through email or agreed project-management channels.
Once the Client approves a Deliverable for publication, distribution, production, or media placement, the Client is responsible for the approved content, except to the extent Hostixie introduced an error after approval.
Changes requested after final approval may:
- Affect timelines;
- Require replacement creative materials;
- Cause additional media or production costs;
- Be treated as additional work.
Revisions and Scope Changes
The number of revisions included in a Project, where applicable, will be stated in the Proposal or service package.
A revision means a reasonable modification to work already produced within the originally agreed Project direction.
Requests that materially change the original brief may constitute additional work. This may include:
Hostixie will notify the Client where a request is considered outside the agreed scope.
Additional work will only proceed after the revised scope, fees, or other relevant terms have been agreed.
- A new campaign direction;
- New target markets;
- Additional audiences;
- New Deliverables;
- Additional advertising channels;
- Significant rewriting after approval;
- Additional research;
- New creative concepts;
- Additional languages;
- Expanded media requirements.
Project Timelines
Any timeline Hostixie provides is based on the information, scope, dependencies, and Client response times known when the schedule is prepared.
Delivery dates may change where:
We will make reasonable efforts to inform the Client of material changes to an agreed timeline.
- Client feedback or approval is delayed;
- Required information is not provided on time;
- The scope changes;
- Third-party suppliers experience delays;
- Advertising platforms or publishers require additional review;
- Events outside our reasonable control affect delivery.
Fees and Payment
Fees for Hostixie Services will be stated in the applicable Proposal, package, quotation, agreement, or invoice.
Unless otherwise agreed:
Hostixie reserves the right to suspend work where an invoice is overdue.
The Client remains responsible for fees for Services already performed and for approved or non-cancellable Third-Party Costs already incurred.
- All fees are stated exclusive of applicable taxes or VAT where legally required;
- Payment must be made according to the payment schedule shown in the Proposal or invoice;
- Deposits or advance payments may be required before work begins;
- Work may be divided into milestones with separate payments;
- Hostixie may withhold Final Deliverables until outstanding amounts relating to the Project are paid.
Media Spend and Third-Party Costs
Unless specifically stated otherwise, Media Spend and Third-Party Costs are not included in Hostixie’s professional service fees.
These may include:
Third-Party Costs may be invoiced directly by the third-party provider or passed through Hostixie, depending on the arrangement.
Where Hostixie commits funds to a third party following Client approval, the Client remains responsible for those costs even if the Client subsequently cancels or changes the Project.
- Google, social media, display, video, or other advertising spend;
- Publisher fees;
- Print advertising;
- Outdoor media;
- Radio or television placements;
- Sponsored publications;
- Survey participants or research panels;
- Research databases;
- Printing;
- Photography;
- Video production;
- Voice-over services;
- Translation;
- Stock images, footage, fonts, or licensed assets;
- Distribution services;
- External specialists.
Media Placement and Third-Party Platforms
Advertising platforms, publishers, media owners, social networks, search engines, broadcasters, and other third parties operate independently from Hostixie.
They may change:
Hostixie cannot guarantee that a third party will approve, publish, continue displaying, or deliver an advertisement exactly as anticipated.
We are not responsible for interruptions, account restrictions, rejected advertising, platform outages, policy changes, algorithm changes, publisher decisions, or other matters controlled by third parties, except where directly caused by Hostixie’s failure to perform its agreed obligations.

- Technical requirements;
- Algorithms;
- Approval standards;
- Account requirements;
- Placement availability.
No Guarantee of Advertising or Commercial Results
Marketing, advertising, PR, communications, research, and media activity involve factors outside Hostixie's control.
Accordingly, unless expressly guaranteed in a separate written agreement, Hostixie does not guarantee:
Forecasts, projections, target metrics, estimates, benchmarks, strategic recommendations, and research conclusions are provided as professional assessments based on the information available at the relevant time.
They should not be interpreted as guaranteed future outcomes.
- A specific number of leads;
- Sales or revenue;
- Profitability;
- Conversion rates;
- Website traffic;
- Media coverage;
- Search visibility;
- Market share;
- Audience response;
- Public opinion changes;
- Advertising impressions beyond confirmed media commitments;
- Return on advertising spend;
- Return on investment;
- Business growth;
- Any other specific commercial result.
Market Research and Research Findings
Where Hostixie performs market research, public opinion research, competitor analysis, surveys, or similar services, findings are based on the methodology, sample, sources, information, and limitations applicable to the individual Project.
Research may include primary research, secondary research, public information, Client-supplied data, licensed databases, surveys, interviews, or third-party research providers.
Research findings and recommendations represent an analysis of available information and do not guarantee future market conditions or business performance.
Where sampling is used, findings may be subject to statistical and methodological limitations.
Any material limitations will, where appropriate, be described in the relevant research output.
Third-Party Data and Information
Hostixie may rely on data or information obtained from reputable third-party sources when performing research, media planning, market analysis, or consulting services.
While Hostixie may take reasonable care in selecting and interpreting such information, it does not control third-party databases or independently guarantee that all third-party information is complete, error-free, or continuously up to date.
Cancellation and Project Suspension
A Client may request cancellation of a Project by providing written notice.
If a Project is cancelled after work has commenced, the Client will be responsible for:
Any refund entitlement will depend on the applicable Proposal, payment schedule, work completed, and non-recoverable costs.
Hostixie may suspend or terminate a Project where:
- Services performed up to the effective cancellation date;
- Completed or partially completed Project stages;
- Approved Third-Party Costs;
- Non-refundable supplier commitments;
- Media bookings that cannot be cancelled;
- Other costs reasonably incurred in connection with the Project.
- Payments are materially overdue;
- The Client repeatedly fails to provide required information or approvals;
- The Client requests unlawful or misleading activities;
- Continuing the engagement would create material legal, regulatory, reputational, or operational risk;
- The Client materially breaches these Terms or a separate agreement.
Intellectual Property — Client Materials
The Client retains ownership of intellectual property rights in Client Materials supplied to Hostixie.
By providing Client Materials, the Client grants Hostixie a limited right to use, reproduce, edit, adapt, and process those materials only as reasonably necessary to perform the agreed Services.
The Client represents that it has the rights and permissions necessary to provide those materials for use in the Project.
Intellectual Property — Hostixie Materials
Hostixie retains ownership of its pre-existing intellectual property, including:
The Client does not acquire ownership of Hostixie's underlying methods or pre-existing intellectual property merely because such materials are used in providing Services.

- Processes;
- Frameworks;
- Templates;
- Internal tools;
- Research approaches;
- Know-how;
- General concepts;
- Working methods;
- Reusable design systems;
- Proprietary materials created independently of a Client Project.
Intellectual Property — Final Deliverables
Unless otherwise stated in the Proposal or agreement, upon full payment of all fees relating to a Project, the Client will receive the agreed rights to final custom Deliverables created specifically for that Client.
Drafts, rejected concepts, exploratory work, unused creative directions, internal working files, and materials not identified as final Deliverables remain the property of Hostixie unless otherwise agreed.
Third-party assets remain subject to the licensing terms imposed by their respective owners.
These may include:
The Client must comply with any applicable third-party licence restrictions.
- Stock photography;
- Stock video;
- Fonts;
- Music;
- Research data;
- Templates;
- Software;
- Media assets;
- Other licensed materials.
Portfolio and Case Studies
Subject to confidentiality obligations and any separate written agreement, Hostixie may request permission to identify completed Client Projects in its portfolio, credentials presentations, case studies, or other business-development materials.
Where a Project contains confidential, commercially sensitive, embargoed, or restricted information, Hostixie will respect the applicable confidentiality requirements.
Where specific permission is required for use of Client trademarks, logos, results, or confidential project information, such use will be subject to the appropriate approval.
Confidentiality
Each party may receive confidential or commercially sensitive information from the other during a Project.

Each party agrees to take reasonable steps to protect confidential information and not disclose it to unauthorized third parties except where:

Personal Data and Privacy

Where a Project requires Hostixie to process personal data on behalf of a Client — for example in connection with marketing databases, surveys, audience research, campaign management, or other Client-controlled data — the parties may enter into additional data-processing terms where required.
The Client is responsible for ensuring that personal data supplied to Hostixie has been collected and disclosed lawfully.
Third-Party Content and Services
Our Website and Services may reference or use third-party tools, platforms, publications, databases, websites, or services.
Hostixie does not control third-party services and is not responsible for their independent content, availability, privacy practices, pricing, policies, or terms.
Use of a third-party service may be subject to that provider's separate agreement or policies.
Prohibited Activities

Indemnification
To the extent permitted by applicable law, the Client agrees to indemnify and hold Hostixie harmless from third-party claims, liabilities, damages, and reasonable costs arising from:

- The Client’s unlawful use of Deliverables;

Force Majeure
Neither party will be responsible for delay or failure to perform obligations caused by circumstances beyond its reasonable control.
Such circumstances may include natural disasters, war, civil disturbance, government action, widespread telecommunications failures, major platform outages, labour disruption, power failures, or other comparable events.
The affected party should notify the other party where reasonably practicable.
Agreement Termination
These Terms apply for as long as you use the Website or maintain an active contractual relationship with Hostixie.
Termination of a specific Project does not affect provisions that are intended to survive termination, including provisions concerning:
- Outstanding payments;

Unless the parties agree in writing to a different competent forum, disputes arising from or relating to these Terms or the Services will be submitted to the competent courts in Bucharest, Romania, subject to applicable rules regarding jurisdiction.
